ORGANIZE4CHANGE TERMS OF SERVICE

Rules governing accounts, subscriptions, nonprofit-led activities, community features and use of the Organize4Change platform.

Important
These Terms apply to Participants, Organization Users, Nonprofit Providers, Support Organizations and other registered users. Organize4Change provides a technology platform; it does not provide medical care, clinical services, emergency services, case management or the third-party activities listed on the platform.

 

1. About Organize4Change and these Terms

1.1 Organize4Change is an online community-engagement platform operated by Organize4Change LLC, a North Carolina limited liability company. The platform helps adults discover, join, support and help run nonprofit-led activities, build routines and social connections, and communicate through features that we make available.

1.2 These Terms govern access to and use of https://organize4change.com, user accounts, public Participant profiles, a global public timeline, dashboards, activity listings, registrations, invitations, private messaging, group discussions, comments, reviews, recommendations, notifications, online payments, file and media uploads, subscriptions and related services (collectively, the “Platform”).

1.3 By creating an Account, clicking an acceptance box, purchasing a subscription, joining an Organization, accessing registered features or otherwise using the Platform, you agree to these Terms and the policies incorporated by reference.

1.4 If you use the Platform for an Organization, nonprofit, group home, recovery program, supportive-living provider, community-support service or other entity, you represent that you have authority to accept these Terms for that entity.

1.5 If you do not agree, do not create an Account, purchase a subscription or use the Platform.

2. Definitions and user roles

 

Defined term

Meaning

Account

An individual account used to access the Platform. Accounts may be created directly by a person or, where permitted, provisioned or invited by an Organization.

Participant

An adult who browses, joins, supports or participates in Activities. Participants may include people receiving behavioral-health or community-support services, people living in group homes or supportive living, people in recovery programs, and other community members.

Organization

A nonprofit, Support Organization or other entity with an Account or subscription used to manage users, publish or support Activities, or access organizational features.

Nonprofit Provider

A nonprofit or other expressly approved activity provider authorized by Organize4Change to publish an Activity.

Support Organization

An entity that invites, onboards, supports or manages Participants, such as a group home, recovery program, supportive-living provider or community-support service.

Organization User

A staff member, volunteer, administrator or representative who accesses the Platform on behalf of an Organization.

Activity

A community, social, volunteer, educational, recreational or similar opportunity listed by a Nonprofit Provider.

Content

Profiles, listings, messages, comments, photos, videos, reviews, documents, descriptions, feedback and other material submitted to or through the Platform.

Subscription

A paid or complimentary plan that provides features for a stated billing period.

Policies

These Terms, the Privacy Policy, Cookie Policy, Acceptable Use Policy and Community Guidelines, Organization and Nonprofit Provider Terms, Activity Participation and Third-Party Provider Disclaimer, and any plan or checkout terms presented to you.

 

3. Eligibility, capacity and minors

3.1 You must be at least 18 years old and legally capable of entering into a binding agreement to create or independently control an Account.

3.2 The Platform is not directed to children under 13, and children under 13 may not create an Account. Organize4Change does not knowingly collect personal information directly from children under 13 through ordinary Account registration.

3.3 A specific Activity may permit a minor to participate only where the Nonprofit Provider clearly allows it and a parent, legal guardian, school or authorized Organization completes required registration, provides legally sufficient permission and assumes responsibility for supervision and safety.

3.4 Organizations offering youth Activities are solely responsible for age screening, parental or guardian consent, staff and volunteer screening, supervision, transportation rules, mandated-reporting obligations and compliance with all child-safety laws.

3.5 We may request reasonable information to confirm age, authority or eligibility and may deny or terminate access if the information is not provided or appears inaccurate.

4. Accounts, access and security

4.1 You must provide accurate, current and complete Account information and update it when it changes.

4.2 Your login credentials are personal. You must not sell, share or transfer them, permit unauthorized access, or use another person’s Account.

4.3 You are responsible for activity performed through your Account to the extent it results from your acts, omissions or failure to use reasonable security. You are not responsible for activity caused solely by our breach or a compromise you could not reasonably have prevented.

4.4 Notify support@organize4change.com promptly if you suspect unauthorized access, impersonation, loss of credentials or misuse of an Organization-managed Account.

4.5 An Organization may provide a Participant with Platform access through a coupon code or another authorized invitation method. The Participant must personally accept these Terms and the Privacy Policy before independently using the Account.

4.6 A Participant Account remains owned and controlled by the Participant. An associated Organization may view the Participant’s profile and email address where the Platform permits, but it may not edit the profile, view the Participant’s activity history, deactivate the Account or delete it.

4.7 If a Participant leaves or ends their relationship with an Organization, the Participant retains control of the Account. The Organization must stop using any information it no longer has authority to access or retain.

5. Platform purpose and role

5.1 Organize4Change provides technology that helps users discover and coordinate nonprofit-led Activities. We are not the organizer, owner, operator, employer, agent, partner, sponsor, insurer or guarantor of any third-party Activity unless we expressly state otherwise in writing.

5.2 Nonprofit Providers are independent third parties. They control their Activities, eligibility criteria, schedules, locations, staffing, supervision, accessibility arrangements, transportation, insurance, safety procedures and legal compliance.

5.3 Application review, administrative review, automated checks or approval to publish is intended to reduce fraud and misuse. It is not verification, accreditation, certification, endorsement, licensing confirmation, background screening or a guarantee of any Organization, person or Activity.

5.4 Users must exercise independent judgment and perform appropriate due diligence before attending, supporting, supervising or relying on an Activity or Organization.

6. No healthcare, clinical or emergency services

6.1 The Platform supports community participation; it does not diagnose, treat, monitor or prevent any disease or condition and does not provide medical, behavioral-health, therapeutic, rehabilitation, social-work, case-management or professional advice.

6.2 Platform content, activity suggestions, participation history, routines, messages and accessibility preferences are not medical records, treatment plans, clinical recommendations or substitutes for advice from a qualified professional.

6.3 Organize4Change is not an emergency service. Do not use the Platform to report an immediate danger, medical emergency, threat of self-harm, abuse or crime. Contact 911 or the appropriate local emergency or safeguarding authority.

6.4 Unless Organize4Change signs a written Business Associate Agreement and expressly enables a compliant workflow, users and Organizations must not submit protected health information, treatment notes, diagnoses, clinical assessments, medication information or other medical records to the Platform.

7. Activity discovery, registration and participation

7.1 Activity information is supplied by the Nonprofit Provider. Availability, eligibility, capacity, location, accessibility, timing, prerequisites, costs and other details may change or contain errors.

7.2 A listing, registration request, expression of interest, invitation, reminder or confirmation displayed by the Platform does not guarantee admission, attendance, safety, suitability, completion, benefit or outcome.

7.3 Any agreement relating to participation is between the Participant and the applicable Nonprofit Provider, unless the listing expressly states otherwise. Organize4Change is not a party to that agreement.

7.4 Participants must comply with provider instructions, venue rules, safety requirements, eligibility criteria and applicable law and must disclose directly to the Provider any information the Provider lawfully requires to make participation safe.

7.5 The Activity Participation and Third-Party Provider Disclaimer is incorporated into these Terms.

8. Community communications and user interactions

8.1 The Platform currently supports private messaging, group discussions or forums, comments, reviews, notifications, Activity recommendations or matching, location-based Activity searches, a global public timeline, public Participant profiles, and file, image or video uploads. We may modify, limit or withdraw features where reasonably necessary.

8.2 Communications must comply with the Acceptable Use Policy and Community Guidelines. You must not harass, exploit, threaten, discriminate against, manipulate, deceive or pressure another user, including a person who may be vulnerable or receiving support services.

8.3 The Platform does not facilitate private financial transactions, private service negotiations or transfers of money between Participants and Providers. Do not send cash, gift cards, account credentials or payment details to another user through community features.

8.4 We may moderate, preserve, restrict or remove communications and may report suspected threats, abuse, exploitation or unlawful conduct where permitted or required by law. We do not promise to monitor every interaction or prevent every harmful act.

8.5 Public Participant profiles, global timeline posts, comments, reviews and uploaded media may be visible to other users and the public. Users are responsible for their visibility choices and must not publish another person’s email address, private information or sensitive information without lawful authority.

8.6 Email addresses are not public. They may be visible to Organize4Change, the Participant and approved Organizations with authorized access. Users must not disclose or misuse an email address obtained through the Platform.

9. Subscriptions and plan features

9.1 The Platform may offer a free Visitor Participant Account, paid Participant plans, Organization plans, nonprofit plans, discounted plans or promotional access. Current plan names, prices, billing periods, feature limits and eligibility requirements are displayed on the pricing page or at checkout.

9.2 As of the Effective Date, examples communicated by Organize4Change include annual Participant plans and monthly Organization plans. Prices shown in these Terms or marketing materials are informational and may be replaced by the price and terms clearly presented at checkout.

9.3 Organization subscriptions may limit the number of managed Participants, administrators, Activities, communications, reports or other features. You must not circumvent plan limits or use multiple Accounts to avoid charges or restrictions.

9.4 Qualified nonprofits may apply for free or discounted access. Eligibility, proof requirements, limits and continuation of nonprofit pricing are determined by Organize4Change and may be reviewed periodically.

9.5 We may add, remove or modify plans and features. For a material reduction in paid core functionality, we will provide reasonable advance notice when practicable, unless an urgent legal, security or technical reason requires faster action.

10. Billing, automatic renewal and authorization

10.1 Before you purchase, checkout will identify the plan, price, taxes if applicable, billing period, whether the Subscription renews automatically, the renewal frequency and how to cancel. Review those terms before authorizing payment.

10.2 Unless checkout expressly states that a plan is non-renewing, paid Subscriptions renew automatically for successive periods of the same length until canceled. Annual Participant plans ordinarily renew annually; monthly Organization plans ordinarily renew monthly.

10.3 By purchasing an automatically renewing Subscription, you authorize Organize4Change and its payment processor to charge the selected payment method for recurring fees, applicable taxes and disclosed price changes until cancellation takes effect.

10.4 You must provide valid billing information and keep it current. We may retry failed payments and may restrict paid features, suspend access or cancel a Subscription after reasonable payment-recovery efforts.

10.5 Payment processors, including any processor identified at checkout, may process payment credentials under their own terms and privacy notices. Organize4Change does not require users to provide raw card data through ordinary Platform messages or profile fields.

11. Price changes, cancellation and nonpayment

11.1 We may change Subscription prices by providing reasonable advance notice. A price change applies no earlier than the next renewal after the stated effective date, unless you expressly agree otherwise.

11.2 You may cancel an automatically renewing Subscription through the available Account or billing controls, or by contacting support@organize4change.com if self-service cancellation is unavailable. Cancellation should be at least as straightforward as enrollment.

11.3 Cancellation normally prevents the next renewal and takes effect at the end of the current paid period. Unless required by law or expressly stated, cancellation does not retroactively reverse a completed charge or create a prorated refund.

11.4 Removing a Participant, leaving an Organization, deleting a profile or ceasing to use the Platform does not automatically cancel a separately billed Subscription. The authorized billing administrator must complete cancellation.

11.5 If payment is overdue, reversed, disputed or suspected to be fraudulent, we may restrict features, suspend access, recover reasonable costs, or terminate the affected Subscription or Account, subject to applicable law.

12. Refunds, credits and chargebacks

12.1 Except where required by law, stated at checkout or approved by Organize4Change in writing, Subscription fees are non-refundable after the applicable billing period begins, including where the user does not use available features or changes their mind.

12.2 If Organize4Change materially fails to provide a paid service, contact us promptly with the relevant Account and transaction details. We may investigate and, where appropriate, restore access, correct billing, extend service or issue a full or partial refund.

12.3 Promotional credits, free access and nonprofit discounts have no cash value, are non-transferable and may expire or be withdrawn if eligibility requirements are not met.

12.4 Before initiating a chargeback, contact support so we can investigate. We may suspend access associated with a disputed charge while the dispute is reviewed, but nothing in this clause limits lawful payment-card rights.

12.5 Refunds and billing corrections may be processed by the payment processor and may take the time reasonably required by that processor and financial institutions.

13. User Content and license to operate the Platform

13.1 You retain ownership of Content you lawfully submit. You grant Organize4Change a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, format, transmit, display, moderate and otherwise process that Content only as reasonably necessary to operate, secure, improve and promote the Platform and to carry out settings or instructions you select.

13.2 For public listings, reviews, posts or other public Content, the license includes displaying and distributing that Content to Platform users and the public. For private Content, our use is limited by applicable settings, the Privacy Policy and lawful operational needs.

13.3 You represent that you own or have all rights and permissions necessary for your Content and that it does not violate law, privacy, confidentiality, intellectual-property rights or the Policies.

13.4 You must not submit another person’s health, disability, recovery, housing, location or support information without appropriate authority and a lawful, necessary purpose.

13.5 We may remove, restrict or preserve Content in accordance with our moderation rules, legal obligations and legitimate security needs.

14. Platform intellectual property

14.1 Organize4Change and its licensors own the Platform, software, interfaces, designs, documentation, databases, branding and other proprietary materials, excluding user-owned Content.

14.2 Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable right to use the Platform for its intended purpose during your authorized access period.

14.3 You must not copy, frame, mirror, scrape, reverse engineer, decompile, resell, sublicense, create a competing service from, or circumvent security or access controls of the Platform, except to the limited extent a restriction is prohibited by law or we give written permission.

14.4 If you submit ideas or feedback, you permit us to use them without compensation or restriction, provided we do not publicly identify you as the source without permission.

15. Copyright complaints and DMCA procedure

15.1 We respect intellectual-property rights and may remove or restrict Content that we reasonably believe infringes copyright.

15.2 A copyright notice should identify the copyrighted work, the allegedly infringing material and its location, the complaining party’s contact information, a good-faith statement, a statement under penalty of perjury that the notice is accurate and the sender is authorized, and a physical or electronic signature.

15.3 Send copyright notices to support@organize4change.com with the subject “DMCA Notice.” If Organize4Change designates an agent with the U.S. Copyright Office, the published agent information will control and must also appear on the Platform.

15.4 A user whose Content is removed may submit a legally compliant counter-notification. We may restore Content when legally permitted and may terminate repeat infringers in appropriate circumstances.

15.5 Knowingly making a material misrepresentation in a notice or counter-notice may create legal liability.

16. Acceptable use and community standards

16.1 You must comply with the Acceptable Use Policy and Community Guidelines, which are incorporated into these Terms.

16.2 You must not use the Platform for illegal conduct, exploitation, harassment, discrimination, abuse, fraud, impersonation, spam, malicious code, unauthorized access, deceptive fundraising, unapproved commercial solicitation or conduct that threatens safety or the integrity of the Platform.

16.3 You must not target, manipulate or exploit a person because of disability, behavioral-health status, recovery status, housing status, age, financial circumstances, dependence on services or other vulnerability.

16.4 Reasonable technical, messaging, storage, participant, listing and usage limits may apply. We may restrict abnormal or excessive use that creates security, reliability, legal or fair-access risks.

17. Organization and provider obligations

17.1 An Organization or Nonprofit Provider must comply with the separate Organization and Nonprofit Provider Terms, which are incorporated into these Terms.

17.2 Providers are responsible for lawful and accurate Activity listings; qualified personnel; safeguarding; accessibility; supervision; emergency procedures; required permits, licenses and insurance; and all conduct at an Activity.

17.3 Support Organizations are responsible for obtaining lawful authority to create or manage Participant Accounts, limiting access to authorized staff, protecting confidential information and avoiding clinical or discriminatory use of the Platform.

17.4 Organizations must not represent that Organize4Change verifies, accredits, endorses or guarantees them, their staff, their nonprofit status or their Activities.

18. Third-party services, links and integrations

18.1 The Platform may depend on hosting, analytics, communications, advertising, payment and other third-party services and may link to third-party websites. Their terms and privacy practices apply independently.

18.2 We do not control or endorse third-party content, Organizations, venues, transportation, payment services or external websites merely because they appear on or connect with the Platform.

18.3 A third-party service may change, fail or discontinue. We may modify or disable an integration without liability where reasonably necessary, while preserving non-waivable rights.

19. Privacy and consumer health information

19.1 Our Privacy Policy describes how Organize4Change collects, uses, discloses and protects personal information and how users may exercise privacy rights.

19.2 Organize4Change does not intentionally collect accessibility requirements, disability information, behavioral- or mental-health information, recovery-program participation, group-home or supportive-living status, community-support-service participation, sexual orientation, diagnoses, medications, treatment information, case notes, insurance information or emergency-contact information as structured Platform data.

19.3 Users and Organizations must not submit the information listed in Section 19.2 through profiles, messages, timeline posts, uploads or other fields. If a user incidentally discloses sensitive information in User Content, the user remains responsible for having lawful authority to do so, and Organize4Change may remove or restrict the Content.

19.4 Organize4Change does not advertise the Platform as HIPAA compliant and does not accept medical records or protected health information unless it later signs a written Business Associate Agreement and expressly enables a compliant workflow.

19.5 Unless expressly agreed in writing, Organize4Change does not act as a HIPAA business associate and the Platform is not designed as an electronic health-record, clinical documentation or treatment-management system.

20. Electronic communications and records

20.1 You consent to receive contractual notices, renewal and billing communications, security alerts, service messages and other records electronically at the email address, telephone number, dashboard or other contact method associated with your Account.

20.2 Electronic acceptance, clicks, checkboxes, typed names, Account actions and records may constitute your signature and evidence of agreement to the extent permitted by law.

20.3 You are responsible for maintaining current contact information and equipment capable of receiving and retaining electronic records. You may request a copy of these Terms by contacting us.

20.4 Marketing emails and texts are subject to separate consent and opt-out rights. Opting out of marketing does not stop necessary transactional or security communications.

21. Availability, changes and maintenance

21.1 We aim to operate a reliable Platform but do not promise uninterrupted, error-free or continuously available service, a particular response time, or preservation of every feature or item of Content.

21.2 We may perform maintenance, deploy updates, modify features, impose reasonable security controls or temporarily restrict access. Where practicable, we will provide notice of a material planned interruption.

21.3 You should retain independent copies of records that are important for safety, legal compliance, care coordination or business continuity. The Platform must not be the sole repository for emergency or essential operational information.

22. Suspension, termination and deletion

22.1 We may investigate suspected violations and may warn, restrict Content, limit features, suspend or terminate an Account, Subscription, Organization or listing for material breach, nonpayment, fraud, security risk, unlawful activity, harm, repeated complaints, provider disqualification, or legal or regulatory requirements.

22.2 Where an issue can reasonably be corrected and immediate action is unnecessary, we may provide notice and an opportunity to cure. We may act immediately where necessary to protect users, vulnerable persons, evidence, security, legal compliance or the Platform.

22.3 You may stop using the Platform and may request Account deletion. Deletion may be subject to Organization control, outstanding billing, legal retention, dispute preservation, fraud prevention and backup cycles described in the Privacy Policy.

22.4 Termination ends access rights but does not erase accrued payment obligations, prior grants necessary to handle lawfully retained Content, or provisions intended to survive, including ownership, confidentiality, disclaimers, liability, indemnity and dispute terms.

22.5 You may contact support to request review of a moderation or suspension decision. Review does not guarantee reversal and does not delay urgent protective measures.

23. Disclaimers

23.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.

23.2 WE DO NOT WARRANT THAT AN ORGANIZATION, NONPROFIT PROVIDER, PARTICIPANT, ACTIVITY, LISTING, MESSAGE, REVIEW, ACCESSIBILITY FEATURE OR THIRD-PARTY SERVICE IS ACCURATE, SAFE, LAWFUL, AVAILABLE, SUITABLE, QUALIFIED, INSURED, BENEFICIAL OR FREE FROM HARM.

23.3 WE DO NOT GUARANTEE HEALTH, RECOVERY, EMPLOYMENT, SOCIAL, EDUCATIONAL, COMMUNITY, INDEPENDENCE OR OTHER OUTCOMES FROM USING THE PLATFORM OR PARTICIPATING IN AN ACTIVITY.

23.4 NOTHING IN THESE TERMS EXCLUDES AN EXPRESS COMMITMENT OR WARRANTY THAT CANNOT LAWFULLY BE DISCLAIMED.

24. Limitation of liability

24.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, willful misconduct or other non-waivable obligations.

24.2 To the maximum extent permitted by law, Organize4Change and its affiliates, managers, employees, contractors and licensors are not liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, opportunity, goodwill, data or anticipated savings.

24.3 To the maximum extent permitted by law, Organize4Change is not liable for an Organization’s or Provider’s acts or omissions; Activity cancellation, injury, illness, death, transportation, property loss, discrimination, abuse, supervision, accessibility or safety; user communications; or reliance on third-party content.

24.4 For claims arising from a paid Subscription, our aggregate liability during any twelve-month period will not exceed the greater of the fees paid by the claimant to Organize4Change for the affected Subscription during that period or US $100. For free use, the aggregate cap is US $100.

24.5 The limitations apply regardless of legal theory and even if a remedy fails of its essential purpose, but only to the extent permitted by applicable law.

25. Indemnification

25.1 To the extent permitted by law, an Organization, Nonprofit Provider or business user will defend, indemnify and hold harmless Organize4Change and its affiliates, managers, employees and contractors from third-party claims, damages, liabilities and reasonable costs arising from: its Activities; its Content; injury or loss caused by its personnel or operations; violation of law or safeguarding duties; infringement; misuse of personal or health information; or material breach of the Policies.

25.2 An individual Participant will indemnify Organize4Change only for third-party claims arising from that Participant’s unlawful Content, fraud, willful misconduct or material violation of another person’s rights, to the extent permitted by law.

25.3 We will provide reasonable notice of a covered claim and reasonable cooperation. The indemnifying party may not settle a claim in a manner that admits wrongdoing by or imposes non-monetary obligations on Organize4Change without written consent.

26. Force majeure

26.1 Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, epidemic, war, civil disorder, government action, labor disruption, utility or internet failure, cyberattack, hosting failure or third-party service outage.

26.2 The affected party will use reasonable efforts to mitigate the impact. This section does not excuse payment obligations already due or obligations that cannot lawfully be excused.

27. Changes to these Terms

27.1 We may update these Terms for legal, security, operational, technical, pricing or product reasons. The revised version will identify its effective date.

27.2 We will provide reasonable notice of material changes through the Platform, email or another appropriate method. We may request renewed acceptance when appropriate or required by law.

27.3 Urgent legal or security changes may take effect immediately. Other material changes ordinarily take effect on the stated date. Continued use after that date constitutes acceptance where permitted by law.

27.4 If you do not accept a material change, you must stop using the affected service and cancel any Subscription before the change or next renewal takes effect.

28. Governing law and disputes

28.1 These Terms are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict-of-laws principles.

28.2 Before filing a claim, the parties should attempt in good faith to resolve it by written notice describing the issue and requested remedy, unless urgent injunctive relief or a limitations period makes informal resolution impracticable.

28.3 Subject to any non-waivable right to bring a claim elsewhere, the state and federal courts located in North Carolina will have exclusive jurisdiction over disputes arising from these Terms.

28.4 These Terms do not require arbitration and do not waive any right to bring or participate in a class action unless the parties later enter into a separate, enforceable written agreement that expressly provides otherwise.

29. General provisions

29.1 These Terms and the incorporated Policies are the entire agreement concerning the Platform, except for a separate written agreement signed by an authorized representative of Organize4Change.

29.2 If a provision is invalid or unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue.

29.3 A delay or failure to enforce a right is not a waiver. Headings are for convenience. “Including” means “including without limitation.”

29.4 You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets or transfer of the Platform, provided applicable rights are preserved.
