1. Scope and acceptance
1.1 These Organization and Nonprofit Provider Terms (“Provider Terms”) apply to every Organization and Organization User that creates an organizational Account, purchases an Organization plan, issues Participant access through coupon codes, applies for publishing privileges, publishes an Activity or otherwise uses organizational features.
1.2 These Provider Terms form part of the Organize4Change Terms of Service. If there is a conflict, these Provider Terms control for Organization-specific responsibilities, while a separately signed written agreement controls only for the matters it expressly covers.
1.3 The individual accepting these Provider Terms represents that they have authority to bind the Organization. If authority is lacking, the individual must not accept or use organizational features.
1.4 The Organization is responsible for its Organization Users and for activity performed through Accounts, credentials, roles and access that it controls, subject to reasonable exceptions for compromise caused solely by Organize4Change.

3. Application and publishing privileges
3.1 Only an Organization granted publishing privileges may publish Activities. Participants may not publish Activities unless Organize4Change separately approves them as an authorized provider.
3.2 The Organization must provide complete and accurate application information, including its identity, website or public presence, contact details, programs and other information reasonably requested.
3.3 We may review public business or nonprofit records and may request formation records, nonprofit documentation, licenses, certifications, insurance evidence or other supporting material. The review is intended to reduce fraud and misuse.
3.4 Review or approval is not verification, certification, accreditation, endorsement, a background check, confirmation of nonprofit status, confirmation of licensing, or a warranty regarding the Organization or any Activity.
3.5 We may approve, deny, condition, suspend or revoke publishing privileges at our discretion where reasonably connected to safety, integrity, eligibility, legal compliance or Platform risk.
3.6 The Organization must promptly update material information and notify us if its nonprofit status, authority, license, insurance, ownership, personnel, safety status or contact information changes.
4. Subscriptions, plan limits and billing
4.1 Organization plans may be priced by managed Participant capacity, features or other limits. Current plan names, prices, billing periods and limits are displayed at checkout or on the pricing page.
4.2 Examples communicated as of the Effective Date include monthly Starter, Medium and Professional Organization plans and free or discounted nonprofit access. Checkout terms control if they differ from examples in marketing or these Provider Terms.
4.3 Unless expressly identified as non-renewing, paid Organization Subscriptions renew automatically for successive billing periods until canceled. The Organization authorizes recurring charges and must maintain valid billing information.
4.4 An authorized administrator may cancel through available billing controls or by contacting support if self-service cancellation is unavailable. Cancellation normally takes effect at the end of the paid period and does not create a prorated refund except where required by law or expressly approved.
4.5 The Organization must not exceed or circumvent Participant, administrator, Activity, messaging, storage or feature limits. We may require an upgrade, restrict excess use or suspend affected features after reasonable notice where practicable.
4.6 Free or discounted nonprofit access may require periodic confirmation of eligibility and may be limited, changed or withdrawn if eligibility ends, information is inaccurate, the Platform changes or the Organization violates the Policies.
5. Participant onboarding and authority
5.1 An Organization may provide Platform access to a Participant through an authorized coupon code or invitation method. The Participant must personally accept the Terms of Service and Privacy Policy before using the Account.
5.2 The Organization may view the Participant’s profile and email address where the Platform permits, but it must not edit the Participant’s profile, view Activity history, deactivate the Account or delete it.
5.3 The Participant owns and controls the Account. If the Participant leaves the Organization, the Organization must stop accessing or using information it no longer has authority to retain.
5.4 The Organization must respect the Participant’s independent acceptance of the Policies, profile choices, public Content decisions, privacy rights and decision to discontinue the relationship with the Organization.
5.5 The Organization must promptly remove staff or contractor access when it is no longer required and must review roles periodically.
5.6 Shared staff Accounts are prohibited. Each Organization User must use an individual Account so access and activity can be appropriately controlled and audited.
6. Participant autonomy, dignity and non-discrimination
6.1 The Organization must treat Participants with dignity and respect and must not use the Platform to coerce, punish, shame, manipulate or retaliate against a Participant.
6.2 The Organization must not condition housing, treatment, benefits, essential support, eligibility for unrelated services or freedom from retaliation on Platform engagement unless a lawful and appropriate program requirement is clearly disclosed and independently justified.
6.3 The Organization must comply with applicable disability, civil-rights, equal-opportunity and anti-discrimination laws and must not make prohibited decisions based on disability, behavioral-health status, recovery status, race, ethnicity, religion, sex, sexual orientation, gender identity, age or another protected characteristic.
6.4 Descriptions and communications must not stigmatize Participants or misrepresent community participation as medical treatment, guaranteed recovery or proof of readiness, compliance or employability.
7. Activity listing requirements
7.1 Each Activity listing must be accurate, current, lawful and sufficiently complete to support informed participation.
7.2 The listing must disclose material information, including the responsible provider; purpose; date and time; location or online format; eligibility; capacity; registration process; costs; accessibility; supervision; transportation responsibilities; physical or emotional demands; material risks; required equipment; photography or recording; and cancellation rules where relevant.
7.3 The Organization must promptly correct errors and notify registered or invited Participants of cancellations, location changes, safety issues, material eligibility changes or other information likely to affect participation.
7.4 The Organization must not publish deceptive, duplicate, expired, discriminatory, unsafe or unauthorized Activities or use listings primarily for sales, fundraising, recruitment or data collection unrelated to the stated Activity.
7.5 Organize4Change may perform administrative, quality or automated checks before or after publication, but the Organization remains solely responsible for the listing and Activity.
8. Operational responsibility for Activities
8.1 The Nonprofit Provider is the sole organizer and operator of each Activity it publishes. It is responsible for planning, staffing, supervision, participant management, venue, supplies, transportation arrangements, emergency response, incident handling and lawful operation.
8.2 The Provider must use personnel with appropriate qualifications, training, checks, licenses and supervision for their assigned responsibilities.
8.3 The Provider must maintain all permits, registrations, licenses, insurance and approvals required for the Activity and must provide evidence upon reasonable request.
8.4 The Provider must assess reasonably foreseeable risks and maintain appropriate safety, emergency, accessibility, safeguarding and incident-response procedures.
8.5 The Provider must provide Participants with appropriate instructions and must not rely on Organize4Change to determine suitability, capacity, supervision or emergency needs.
8.6 The Provider is responsible for complying with venue rules, transportation laws, food-safety requirements, professional standards and all laws applicable to the Activity.
9. Youth and vulnerable-person safeguarding
9.1 If an Activity permits minors, the Provider must clearly state this and is solely responsible for parental or guardian consent, age verification, legally required screening, staffing ratios, supervision, transportation authorization, photography permissions and child-protection compliance.
9.2 The Organization must comply with laws and policies concerning vulnerable adults, abuse, neglect, exploitation, mandated reporting, background checks and safe boundaries.
9.3 Personnel must not develop exploitative financial, sexual, romantic or coercive relationships with Participants through information or access obtained from the Platform.
9.4 A credible safeguarding concern must be escalated under the Organization’s procedures and to appropriate authorities where required. Reporting to Organize4Change does not replace mandatory external reporting.
10. Accessibility and accommodations
10.1 The Organization must describe accessibility accurately and respond to accommodation requests in accordance with applicable law and its operational responsibilities.
10.2 The Organization must not promise an accommodation that it cannot provide and must promptly communicate material limitations or alternatives.
10.3 The Platform does not currently collect accessibility or accommodation information as a structured feature. If an Organization independently receives such information, only personnel who need it for participation or safety may access it, and the Organization must minimize, protect and delete it when no longer needed.
10.4 An Organization must not place diagnoses, disability details, accommodation records or medical histories in public profiles, timeline posts, messages, discussions, comments, reviews or uploads.
11. Health information and HIPAA boundary
11.1 The Platform is not a clinical documentation, case-management or electronic health-record system and does not intentionally collect medical, disability, behavioral-health, recovery or other sensitive information.
11.2 The Organization must not upload treatment notes, diagnoses, medication records, clinical assessments, psychotherapy notes, substance-use treatment records or other protected health information into profiles, messages, timeline posts, discussions, comments, reviews, uploads or other Platform fields.
11.3 If the Organization is a HIPAA covered entity or business associate, it must not use the Platform for protected health information unless Organize4Change has signed a Business Associate Agreement and expressly approved the applicable configuration and workflow.
11.4 The Organization remains responsible for its own HIPAA, state health-privacy, substance-use confidentiality, disability and professional obligations.
12. Privacy and data protection
12.1 The Organization must comply with privacy, consumer health data, marketing, communications, records and security laws applicable to its use of the Platform.
12.2 Before providing Participant Data, the Organization must give required notices and establish a lawful basis and authority. It must respond to individuals’ requests concerning processing it independently controls.
12.3 The Organization must collect only what is reasonably necessary, use accurate data, apply role-based access, prevent public disclosure, maintain retention rules and securely dispose of information.
12.4 The Organization must not sell Participant Data, use it for unrelated targeted advertising, disclose it to data brokers, or use it for employment, credit, insurance, housing, healthcare or law-enforcement decisions unless separately lawful and transparently authorized.
12.5 The Organization must promptly notify Organize4Change of suspected unauthorized access, disclosure or misuse involving the Platform and cooperate with investigation, mitigation and legally required notice.
12.6 Where Organize4Change and the Organization enter a data-processing or other written agreement, that agreement governs the processing it expressly covers.
13. Communications, marketing and fundraising
13.1 Organization messages must relate to legitimate Platform, Activity or support purposes and must comply with consent, anti-spam, telemarketing and marketing laws.
13.2 The Organization must honor opt-outs and must not add Participant contact information to unrelated marketing, fundraising or recruitment lists without appropriate permission.
13.3 The Platform does not authorize private payments or financial negotiations through messages. The Organization must not request gift cards, bank credentials, passwords or off-platform payments through community features.
13.4 Any fundraising, fee or donation connected with an Activity must be lawful, transparent and clearly distinguished from Organize4Change Subscription charges.
14. Organization Content and intellectual property
14.1 The Organization retains ownership of its Organization Content and grants Organize4Change the license stated in the Terms of Service to operate and promote the Platform and display public Activity listings.
14.2 The Organization represents that it has the necessary rights and permissions for logos, photographs, videos, music, descriptions, testimonials and other Content and for the appearance or statements of identifiable people.
14.3 The Organization must not upload confidential records, copyrighted works, participant images or third-party branding without authority.
14.4 The Organization must promptly address infringement, privacy, safety and accuracy complaints concerning its Content and cooperate with Organize4Change’s DMCA and moderation processes.
15. Records, audits and cooperation
15.1 The Organization must maintain records reasonably sufficient to demonstrate authority, permissions, Activity information, incident handling, insurance, licenses and compliance where applicable.
15.2 We may request reasonable information or documentation in response to a complaint, safety incident, legal request, eligibility review or suspected Policy violation.
15.3 The Organization must cooperate in good faith and must not alter, conceal or destroy relevant evidence after becoming aware of a foreseeable investigation or claim.
15.4 Our review does not transfer the Organization’s responsibilities to Organize4Change and does not create a duty to audit every Organization or Activity.
16. Suspension, removal and termination
16.1 We may restrict a listing, limit organizational features, pause invitations, suspend Accounts, revoke publishing privileges or terminate an Organization for breach, nonpayment, inaccurate application information, expired eligibility, safety risk, repeated complaints, legal requirements or harm to users or the Platform.
16.2 We may act immediately where necessary for safety, safeguarding, fraud, unlawful conduct, privacy, security, evidence preservation or legal compliance. Otherwise, we may provide notice and a reasonable opportunity to cure.
16.3 The Organization must cooperate with an orderly transition, notify affected Participants where appropriate and retain any records it is legally required to maintain.
16.4 Suspension or termination does not relieve the Organization of accrued payment, incident, privacy, indemnity, insurance, recordkeeping or legal obligations.
17. Provider warranties and disclaimers
17.1 The Organization represents and warrants that it is lawfully organized where applicable; has authority to enter these Provider Terms; will comply with law; will provide accurate information; and will operate Activities with reasonable care and appropriate safeguards.
17.2 Organize4Change supplies Platform technology only. It does not supervise the Organization’s personnel, control Activities, provide clinical services, verify every statement, or assume the Organization’s legal or professional duties.
17.3 Platform availability, administrative review, recommendations and communications do not guarantee registrations, attendance, funding, volunteer engagement, outcomes or continued eligibility.
18. Indemnification
18.1 To the maximum extent permitted by law, the Organization will defend, indemnify and hold harmless Organize4Change and its affiliates, managers, employees, contractors and licensors from third-party claims, damages, liabilities, fines, penalties and reasonable costs arising from:
• its Activities, premises, personnel, volunteers, transportation, equipment or services;
• injury, illness, death, property damage, discrimination, abuse, neglect, exploitation or safeguarding failure connected with the Organization;
• inaccurate listings, Organization Content, unauthorized communications or infringement;
• its collection, use, disclosure or security of Participant Data or health-related information;
• its failure to obtain authority, consent, licenses, permits, insurance or required checks; or
• its material breach of the Terms, these Provider Terms or applicable law.
18.2 We will provide reasonable notice and cooperation. The Organization may not settle a covered claim in a way that admits fault by or imposes non-monetary obligations on Organize4Change without written consent.
19. Insurance and risk allocation
19.1 The Organization must maintain insurance reasonably appropriate to its activities and legal obligations, which may include general liability, professional liability, abuse or molestation coverage, automobile coverage, workers’ compensation and cyber coverage.
19.2 Upon reasonable request, the Organization will provide evidence of coverage. Our request or failure to request evidence does not confirm adequacy or waive the Organization’s responsibility.
19.3 The liability limitations in the Terms of Service apply. Nothing in these Provider Terms limits liability that cannot lawfully be limited.
20. General provisions
20.1 These Provider Terms are governed by North Carolina law and the dispute provisions in the Terms of Service.
20.2 The Organization may not assign its rights, publishing privileges or Subscription without our written consent. A change of control may require review of eligibility and authority.
20.3 If a provision is unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions continue.
20.4 Sections concerning responsibility, privacy, records, intellectual property, indemnification, insurance, liability and disputes survive termination to the extent necessary.
20.5 We may update these Provider Terms under the change procedure in the Terms of Service and may require Organization Administrators to re-accept material revisions.
